Terms of Service

These Terms of Service ("Terms") apply to all websites, web applications, APIs, dashboards, software tools, downloadable products, subscriptions and other services (together, the "Services") operated by TJ NOVA LTD ("TJ NOVA", "we", "us", "our"), a private limited company registered in England and Wales (Company No. 17308318), registered office 124-128 City Road, London, EC1V 2NX, United Kingdom — unless a separate written agreement specific to a product expressly overrides these Terms.

1. Agreement to these Terms

By accessing or using any Service, you agree to be bound by these Terms and by any policy referenced in them, including our Acceptable Use Policy, Privacy Policy, Cookie Policy and Refund Policy (together, the "Policies"). If you do not agree, you must not access or use the Services. If you are using the Services on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" refers to both you and the organisation.

2. Eligibility and capacity

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, and have the legal capacity to enter into a binding contract to use the Services. The Services are not directed at children. We do not knowingly permit account registration or use by anyone under this age threshold, and we may suspend or close any account found to violate this requirement.

3. Description of Services

TJ NOVA operates a multi-brand portfolio of digital products spanning artificial intelligence tools and infrastructure, generative and creative software, software-as-a-service platforms, application programming interfaces, digital commerce, content and subscription products, and consumer-facing utilities. The specific features, output formats, pricing and technical characteristics of each product are described on the relevant product page. Services may be updated, modified, suspended in whole or in part, or discontinued at our discretion; where reasonably practicable we will give advance notice of material adverse changes affecting paying customers.

4. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorised by you. You must notify us promptly at security@tjnovaltd.com of any suspected unauthorised access. You must provide accurate registration information and keep it current. We may require additional verification steps for security, fraud prevention or legal compliance purposes.

5. Your content and third-party inputs

You retain ownership of content, prompts, files, data and materials you submit to the Services ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and reproduce Your Content solely to the extent necessary to operate, secure and improve the Services. You are solely responsible for Your Content, including that you have all necessary rights to submit it, that it does not infringe third-party rights, and that any API keys, credentials or third-party integrations you connect to the Services are used in accordance with the relevant third party's own terms. We are not responsible for the accuracy, legality or safety of content you choose to submit or generate.

6. Acceptable use

Your use of the Services is subject to our Acceptable Use Policy, which forms part of these Terms. Violation may result in suspension or termination of your account without refund, and, where required by law or necessary to protect our Services or third parties, disclosure to relevant authorities.

7. Third-party AI models and dependencies

Certain Services incorporate, call, or are built on top of third-party artificial intelligence models, cloud infrastructure, payment processors and other third-party providers. We select these providers with reasonable care, but we do not control their availability, output quality, pricing changes, policy changes or downtime, and we are not liable for losses arising from a third-party provider's acts, omissions or discontinuation of service. Where a third-party provider imposes its own usage restrictions or acceptable-use terms on generated output, you agree to comply with those terms in addition to ours.

8. Fees, billing, subscriptions and taxes

Paid Services are billed according to the plan, subscription tier or usage-based pricing you select at checkout. Prices may be shown exclusive or inclusive of applicable taxes (including VAT) depending on your location and applicable law; where tax is not included, you are responsible for it. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date through your account settings or by contacting support@tjnovaltd.com. Usage-based credits are deducted as consumed. Failed payments, duplicate charges, disputed transactions and chargebacks are handled under our Refund Policy. We may change pricing prospectively with reasonable notice; continued use after a price change takes effect constitutes acceptance.

9. Service availability, beta features and rate limits

We aim for high availability but do not guarantee uninterrupted or error-free operation. Services may be temporarily unavailable for maintenance, upgrades, third-party outages or circumstances beyond our reasonable control. Features labelled beta, preview, experimental or early access are provided without availability or quality guarantees and may be changed or withdrawn at any time. We may apply rate limits, quotas or fair-use thresholds to protect the integrity and availability of the Services for all users; attempting to circumvent these controls is a violation of the Acceptable Use Policy.

10. Intellectual property

All software, source code, branding, trademarks, interfaces and underlying technology provided as part of the Services remain the property of TJ NOVA or its licensors. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the Services as intended. You may not copy, reverse engineer, decompile or create derivative works of the Services except to the extent expressly permitted by applicable law that cannot be excluded by agreement.

11. Sanctions, export control and legal compliance

You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive UK, EU or US trade sanctions, and that you are not listed on any applicable restricted-party or denied-persons list. You agree not to use the Services in violation of applicable export control, sanctions or anti-money-laundering laws. We may suspend or terminate access where reasonably necessary to comply with such laws.

12. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement and accuracy. AI-generated output may be inaccurate, incomplete or unsuitable for a particular purpose; you are responsible for reviewing and validating any output before relying on it, particularly for professional, medical, legal, financial or safety-critical decisions. Nothing in this section limits or excludes any statutory rights that cannot lawfully be limited or excluded, including statutory rights available to consumers under UK law.

13. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under English law. Subject to that, to the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity; and (b) our aggregate liability arising out of or relating to the Services will not exceed the greater of £100 or the amount you paid us for the relevant Service in the 12 months preceding the event giving rise to the claim. Where you are a consumer, this section applies only to the extent permitted by applicable consumer protection law, and your statutory rights are not affected.

14. Indemnity

You agree to indemnify and hold TJ NOVA harmless from claims, damages, losses and reasonable costs arising from Your Content, your breach of these Terms or the Acceptable Use Policy, or your violation of applicable law, except to the extent caused by our breach of these Terms or our negligence.

15. Suspension and termination

We may suspend or terminate your access to the Services, with or without notice, where we reasonably believe you have violated these Terms or the Acceptable Use Policy, where required by law, or to protect the security or integrity of the Services. You may stop using the Services and close your account at any time by contacting support@tjnovaltd.com. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, liability, indemnity and governing law) will survive.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date above, and, where required by law or where changes materially reduce your rights, we will provide reasonable advance notice through the Services or by email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

17. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident in another country, mandatory consumer protection laws of your country of residence may also apply and are not excluded by this clause.

18. General provisions

Language. These Terms are drawn up in English. Where we provide a translation into Chinese, Ukrainian or any other language for convenience, the English version prevails in the event of any conflict or inconsistency.

Severability. If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire agreement. These Terms, together with the Policies referenced in them and any product-specific terms, constitute the entire agreement between you and TJ NOVA regarding the Services, and supersede any prior agreements or understandings on that subject matter.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganisation, or sale of assets.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Force majeure. We are not liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labour disputes, internet or telecommunications failures, or failures of third-party providers.
